WEHEALTH PROFESSIONAL PROVIDER TERMS OF USE

These Professional Provider Terms of Use govern professional access to WeHealth by healthcare providers, provider organizations, health plans, clinics, administrators, care teams, care coordinators, nurses, medical assistants, contractors, billing/coding personnel, and other professional users authorized to use the Platform.
WeHealth is a healthcare technology platform. WeHealth is not a medical practice, healthcare provider, EMR/EHR, pharmacy, prescribing platform, DME supplier, or emergency response service.
Professional Users are responsible for clinical care, licensure, scope of practice, patient consent, HIPAA-covered entity obligations, medical records, prescribing, billing, coding, payer compliance, and workforce access management.
The Platform may support RPM, CCM, care coordination, patient engagement, documentation support, reporting, alerts, reminders, device workflows, AI/automation features, and administrative workflows. Platform outputs are informational and operational only and do not replace professional judgment.
Professional Users may create or manage patient profiles only when legally authorized and must not upload PHI or patient information without required consent, authorization, notice, or other legal basis.
If you use connected devices, CGM data, RPM devices, or third-party health apps, the Platform is not a replacement for the device manufacturer display, instructions, warnings, or clinical guidance.
You are responsible for keeping your account secure, supervising your workforce, removing access promptly, complying with privacy/security laws, and exporting or maintaining records required for your official medical records.
INTRODUCTION AND ACCEPTANCE
These WeHealth Professional Provider Terms of Use, also referred to as the “Terms,” “Terms of Use,” or “Professional Terms,” govern professional access to and use of WeHealth websites, mobile applications, portals, dashboards, software, workflow tools, device data tools, communication tools, AI/automation features, documentation support, reporting, analytics, and related services made available to Professional Users (collectively, the “Platform”).
The Platform is operated by WeHealth Technologies LLC d.b.a. WeHealth (“WeHealth,” “we,” “us,” or “our”). These Terms are a legally enforceable agreement between WeHealth and you, and, where you are acting on behalf of a practice, clinic, medical group, health plan, facility, organization, or other entity, that entity as well.
By creating a professional account, accessing the Platform, creating or managing a patient profile, inviting other Professional Users, uploading or transmitting patient information, or using any professional-facing feature, you represent that you have read, understood, and agree to these Terms and that you are authorized to bind the applicable organization to these Terms.
If you have entered into a separate Provider Platform Services Agreement, Master Services Agreement, Order Form, Business Associate Agreement, Data Processing Agreement, or other written agreement with WeHealth, those agreements also apply. If there is a conflict, the written agreement controls for the subject matter it covers. For PHI, the applicable Business Associate Agreement controls. For privacy disclosures, the applicable WeHealth Healthcare Provider Privacy Policy and Patient and Consumer User Privacy Policy apply.
If you do not agree to these Terms, do not access or use the professional-facing Platform.

2. ROLE OF WEHEALTH
WeHealth is a healthcare technology company. WeHealth provides technology-enabled tools and support services that may assist providers, medical groups, health plans, clinics, facilities, care teams, and other healthcare organizations with care coordination, remote patient monitoring support, chronic care management support, patient engagement, communication, documentation support, reporting, task management, device data workflows, AI/automation, analytics, and related administrative or operational workflows.
WEHEALTH IS NOT A MEDICAL PRACTICE, HEALTHCARE PROVIDER, PHYSICIAN GROUP, PHARMACY, PHARMACY BENEFIT MANAGER, DURABLE MEDICAL EQUIPMENT SUPPLIER, ELECTRONIC MEDICAL RECORD SYSTEM, ELECTRONIC HEALTH RECORD SYSTEM, PRESCRIBING PLATFORM, PRESCRIPTION ROUTING PLATFORM, PRESCRIPTION FULFILLMENT SERVICE, EMERGENCY MONITORING SERVICE, OR EMERGENCY RESPONSE SERVICE.
WeHealth does not provide medical care, diagnose, treat, prescribe medication, dispense medication, issue medical orders, make clinical decisions, establish a provider-patient relationship, determine medical necessity, determine eligibility for reimbursement, or guarantee any clinical, payer, billing, care management, wellness, device, or operational outcome.
3. PROFESSIONAL USER ELIGIBILITY AND AUTHORITY
Professional-facing features are restricted to Professional Users and Professional Customers who are authorized to use the Platform. You represent and warrant that you are authorized, credentialed, licensed, registered, employed, contracted, delegated, or otherwise permitted to use the Platform for the professional role and organization you identify.
If you are a licensed healthcare professional, you represent that all licenses, registrations, certifications, and authorizations required for your use of the Platform are valid, active, unrestricted unless disclosed to WeHealth, and sufficient for the services you provide. If you are a non-licensed staff member or contractor, you represent that you are authorized by the applicable Professional Customer and will act only within your assigned role and scope.
If you create an organization, practice, clinic, facility, or team account, invite users, assign roles, create patient profiles, manage patient data, or accept these Terms on behalf of an organization, you represent that you have the legal authority to do so and to bind that organization to these Terms.
4. PROFESSIONAL CUSTOMER AND WORKFORCE RESPONSIBILITIES
Professional Customers are responsible for supervising, training, monitoring, authorizing, and deactivating their Authorized Users. Access must be limited to individuals with a legitimate business, care, operational, or administrative need to use the Platform.
Professional Customers are responsible for all activity under their organization accounts and Authorized User accounts, including activity by employees, contractors, agents, care team members, administrators, vendors, and other workforce members.
Professional Customers must promptly remove or modify access when an Authorized User is terminated, changes roles, no longer requires access, is no longer authorized, or presents a privacy, security, compliance, or operational concern.
Professional Customers are responsible for implementing their own policies, workforce training, HIPAA compliance programs, access controls, device security, password practices, and administrative safeguards appropriate for their organization.
5. PROVIDER COMPLIANCE, LICENSURE, AND SCOPE OF PRACTICE
Professional Users and Professional Customers are solely responsible for complying with all federal, state, local, payer, contractual, professional, privacy, security, licensure, scope-of-practice, telehealth, prescribing, documentation, billing, coding, consent, and recordkeeping requirements applicable to their services and patients.
Providers are solely responsible for determining whether they are authorized to provide services to a patient, whether the applicable standard of care permits remote care, whether an in-person visit is required, whether a prescription/order may lawfully be issued, whether a patient is eligible for a program, and whether any consent, authorization, disclosure, notice, or documentation is required.
WeHealth does not verify, control, supervise, or assume responsibility for any Professional User’s clinical judgment, licensure, scope of practice, medical decision-making, prescribing authority, billing, coding, payer compliance, patient consent, or professional obligations, except to the extent expressly stated in a separate written agreement.
6. PATIENT PROFILES, PATIENT DATA, AND CONSENT
Professional Users may create, manage, upload to, or access patient profiles only for patients or members for whom they are legally authorized to do so. You must not create a patient profile or submit Patient Data unless you have obtained all required patient consent, authorization, disclosure, notice, or other legal basis required by applicable law and your organization’s policies.
You are solely responsible for the accuracy, completeness, legality, and appropriateness of Patient Data that you enter, upload, transmit, import, maintain, or make available through the Platform. WeHealth may rely on information submitted by you, your organization, patients, devices, integrations, and third parties.
If you submit information relating to minors, incapacitated individuals, or individuals acting through caregivers or authorized representatives, you are responsible for confirming the legal authority of the parent, guardian, caregiver, representative, or other person involved and for obtaining required consents and authorizations.
You must not use the Platform to upload, store, access, or disclose Patient Data for individuals with whom you or your organization do not have a lawful care, operational, administrative, payer, or business relationship.
7. HIPAA, BUSINESS ASSOCIATE ROLE, AND PRIVACY
To the extent WeHealth receives, stores, transmits, maintains, or processes PHI on behalf of a Covered Entity or Business Associate, WeHealth acts as a Business Associate or subcontractor Business Associate, as applicable, and handles PHI in accordance with the applicable Business Associate Agreement, HIPAA, HITECH, applicable state privacy laws, and the instructions of the applicable Covered Entity or Business Associate.
Professional Customers remain responsible for their own Covered Entity or Business Associate obligations, including patient notices, patient rights requests, minimum necessary use, workforce access, privacy/security policies, breach notification obligations, lawful uses/disclosures, official medical records, and patient consent/authorization requirements.
If WeHealth receives a patient privacy request or regulatory inquiry relating to PHI maintained on behalf of a Professional Customer, WeHealth may refer the request to the applicable Professional Customer or assist the Professional Customer as required by the applicable agreement and law.
Your use of the Platform is also subject to the WeHealth Healthcare Provider Privacy Policy, any applicable Patient and Consumer User Privacy Policy, any applicable Business Associate Agreement, and any other applicable privacy or data processing terms.
8. NOT AN EMR/EHR OR OFFICIAL MEDICAL RECORD
THE PLATFORM IS NOT AN ELECTRONIC MEDICAL RECORD SYSTEM, ELECTRONIC HEALTH RECORD SYSTEM, OR OFFICIAL LEGAL MEDICAL RECORD SYSTEM UNLESS EXPRESSLY AGREED IN A SEPARATE WRITTEN AGREEMENT AND LEGALLY PERMITTED.
Professional Users may use the Platform to support care coordination, RPM, CCM, patient engagement, documentation support, communications, notes, reports, task management, device workflows, and administrative activities. However, Professional Customers remain responsible for maintaining complete, accurate, timely, and legally compliant medical records in their own EMR/EHR or other required recordkeeping system.
You are responsible for determining what Platform information should be reviewed, validated, transferred, downloaded, printed, stored, or entered into your official medical record, billing record, payer file, compliance file, or other legally required system. WeHealth is not responsible for ensuring that your official medical record is complete.
9. CLINICAL RESPONSIBILITY; NO MEDICAL ADVICE FROM WEHEALTH
The Platform may display or generate information, summaries, readings, reports, alerts, reminders, tasks, risk indicators, trend information, workflow recommendations, or other outputs. These outputs are informational, operational, administrative, or support tools only.
PROFESSIONAL USERS REMAIN SOLELY RESPONSIBLE FOR REVIEWING, VALIDATING, INTERPRETING, AND EXERCISING INDEPENDENT PROFESSIONAL JUDGMENT BEFORE RELYING ON OR USING ANY PLATFORM INFORMATION IN CONNECTION WITH PATIENT CARE, TREATMENT, DIAGNOSIS, MEDICATION, ORDERING, DOCUMENTATION, BILLING, OR PROGRAM DECISIONS.
WeHealth is not responsible for notifying you of changes in patient readings, device status, patient condition, alerts, messages, tasks, reports, missed transmissions, abnormal data, or other information unless expressly stated in a separate written agreement. Even where notifications or alerts are provided, you remain responsible for appropriate review and response.
10. AI, AUTOMATION, AND AUTOMATED OUTPUTS
The Platform may include artificial intelligence, machine learning, automation, rules engines, analytics, or other technology-enabled features that generate summaries, suggestions, classifications, reminders, tasks, reports, risk indicators, documentation support, or other outputs (“Automated Outputs”).
Automated Outputs may be incomplete, inaccurate, delayed, biased, outdated, inappropriate for a particular patient, or unsuitable for a specific clinical, legal, payer, or operational use. Automated Outputs are not medical advice, diagnosis, treatment, prescribing guidance, emergency monitoring, payer advice, legal advice, or a substitute for professional judgment.
Professional Users must not use Automated Outputs as the sole basis for medical decisions, medication decisions, treatment decisions, emergency decisions, billing/coding decisions, legal decisions, employment decisions, insurance eligibility decisions, immigration decisions, or other decisions that may have legal, financial, clinical, or material impact on an individual without appropriate human review and independent professional judgment.
WeHealth may use de-identified, aggregated, anonymized, or otherwise legally permitted data to improve, develop, test, and train analytics, automation, AI, and machine learning features, as described in applicable privacy policies and agreements. PHI is used only as permitted by applicable law and agreements.
11. DEVICES, RPM, CGM, WEARABLES, AND THIRD-PARTY DATA
If the Platform displays, analyzes, imports, transmits, receives, or stores data from RPM devices, connected devices, continuous glucose monitoring devices, blood pressure cuffs, pulse oximeters, scales, thermometers, wearables, Apple Health, Google Health Connect, third-party device apps, patient-entered information, or similar tools, you acknowledge that such data may be delayed, incomplete, inaccurate, corrupted, mislabeled, unavailable, or affected by device malfunction, patient misuse, connectivity issues, battery issues, third-party services, or user error.
The Platform is not a replacement for a device manufacturer’s primary display, instructions, warnings, alarms, labeling, clinical guidance, or safety information. Professional Users and patients must follow applicable manufacturer instructions and treating provider instructions.
CGM/glucose-related features, if available, are intended only to support retrospective or informational review, analysis, and evaluation of data. The Platform is not intended to replace real-time self-monitoring, primary CGM displays, manufacturer applications, clinical judgment, or emergency response. Treatment decisions, including insulin dosing, medication changes, carbohydrate intake, diet, exercise, or urgent intervention, should not be made solely based on the Platform.
Professional Users are responsible for instructing patients on proper device use, escalation pathways, emergency procedures, reporting malfunctioning devices, and contacting the appropriate provider or emergency services when needed.
12. NO PRESCRIBING, PHARMACY, OR DME SUPPLIER SERVICES
WeHealth does not prescribe medications, approve prescriptions, route prescriptions, transmit prescriptions, dispense medication, fulfill prescriptions, operate a pharmacy, determine drug therapy, issue medical orders, or determine whether a medication, device, supply, treatment, or therapy is medically necessary.
Any prescription-related activity must occur outside of WeHealth through the applicable provider’s legally authorized prescribing process, EMR/EHR, e-prescribing system, pharmacy, or other legally compliant system.
WeHealth is not a durable medical equipment supplier unless expressly stated in a separate written agreement or program disclosure. If devices, equipment, or supplies are made available through a WeHealth-supported program, the applicable Professional Customer, supplier, payer, plan, manufacturer, or other responsible party remains responsible for duties that apply to it under applicable law and agreements.
13. ACCOUNT SECURITY AND ACCESS CONTROLS
You must maintain the confidentiality and security of your username, password, authentication credentials, MFA method, device, and account. You must not share credentials, use another person’s credentials, permit unauthorized access, or allow any person to access the Platform under your account.
You must promptly notify WeHealth of any suspected or actual unauthorized access, credential compromise, security incident, privacy incident, loss/theft of device, inappropriate access, or misuse of the Platform.
WeHealth may suspend, disable, or terminate accounts, sessions, features, integrations, exports, or access where WeHealth believes there is a security, privacy, legal, operational, or compliance concern.
Professional Customers are responsible for maintaining appropriate technical and organizational safeguards for systems, devices, networks, browsers, integrations, and workstations used to access the Platform.
14. AVAILABILITY, ACCURACY, AND SERVICE LIMITATIONS
The Platform, or any feature, integration, device workflow, report, alert, or support service, may not be available at all times, in all jurisdictions, in all languages, for all Professional Users, for all patient populations, for all payer programs, or for all use cases.
WeHealth makes no representation that any information, report, alert, device reading, patient-entered data, third-party data, or Platform output will be accurate, complete, timely, uninterrupted, compliant with payer rules, compliant with government disclosure requirements, or appropriate for any particular purpose.
You acknowledge that data visible in the Platform may be based on information submitted by patients, providers, devices, integrations, third-party systems, or other sources outside of WeHealth’s control. You are responsible for verifying data before relying on it.
15. PATIENT DATA EXPORT, DELETION, RETENTION, AND BACKUP
Professional Users and Professional Customers are responsible for exporting, downloading, printing, retaining, backing up, or transferring any Platform information they need for treatment, operations, compliance, billing, legal, payer, recordkeeping, or continuity purposes.
Account deletion, patient profile deletion, or termination of access may not immediately delete all information where retention is required or permitted by law, agreements, audit obligations, backup systems, security logs, legal holds, dispute resolution, or legitimate business purposes.
WeHealth may retain, delete, de-identify, aggregate, anonymize, archive, or return data as permitted or required by applicable law, applicable agreements, and retention policies. WeHealth is not responsible for unauthorized access to information that you export, download, email, print, store locally, back up, share, or maintain outside the Platform.
16. PROFESSIONAL USER CONTENT AND LICENSE
You retain responsibility for content, data, feedback, information, documents, messages, files, notes, images, workflows, configurations, templates, or other materials you submit to or create through the Platform (“Professional User Content”).
Subject to applicable privacy laws, HIPAA, Business Associate Agreements, and other agreements, you grant WeHealth a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, reproduce, modify, adapt, analyze, and use Professional User Content solely as necessary to provide, operate, maintain, secure, support, troubleshoot, improve, and develop the Platform and Services; comply with law; perform under applicable agreements; and create de-identified, aggregated, or anonymized data as permitted by law and agreement.
This license does not permit WeHealth to use PHI outside the scope permitted by applicable law, Business Associate Agreements, privacy policies, and applicable agreements.
17. FEEDBACK
If you provide suggestions, ideas, comments, requests, improvements, workflows, corrections, or other feedback about the Platform (“Feedback”), you grant WeHealth the right to use, disclose, reproduce, modify, license, distribute, and exploit such Feedback without restriction or compensation, except that PHI or personal information included in Feedback will remain subject to applicable privacy laws and agreements.
You must not include PHI, patient-identifying information, confidential patient information, or third-party confidential information in Feedback unless necessary for support or troubleshooting purposes and only through an authorized, secure support channel as directed by WeHealth and permitted by applicable law and agreement.
18. PROHIBITED USES
You must not, and must not permit any Authorized User or third party to:
- use the Platform for any unlawful, fraudulent, abusive, harassing, discriminatory, or unauthorized purpose;
- access, upload, view, download, disclose, or use Patient Data without a lawful and professional need;
- create patient profiles or upload Patient Data without required consent, authorization, notice, or other legal basis;
- access or request a patient’s login credentials or use a patient’s account to link or access data;
- share credentials, allow unauthorized access, or use another person’s account;
- scrape, crawl, harvest, bulk export, or automate access to the Platform except as expressly authorized in writing by WeHealth;
- reverse engineer, decompile, disassemble, decode, modify, circumvent, test, scan, or attempt to derive the source code, security controls, or underlying structure of the Platform except as expressly permitted by law;
- upload viruses, malware, malicious code, or content that disrupts or harms the Platform or other systems;
- use the Platform to provide prescribing, pharmacy, e-prescribing, prescription routing, DME supplier, emergency monitoring, or EMR/EHR services unless expressly authorized in writing by WeHealth and legally permitted;
- use Automated Outputs as the sole basis for decisions with legal, financial, employment, insurance, immigration, clinical, or material impact on an individual;
- disclose confidential information about Platform features, performance, security, pricing, benchmarking, or non-public functionality without WeHealth’s written consent, except as required by law;
- resell, sublicense, lease, rent, frame, white-label, or commercially exploit the Platform except as expressly permitted in a written agreement;
- use the Platform to develop, train, benchmark, or improve a competing product, model, service, or platform;
- engage in abusive, threatening, harassing, discriminatory, profane, hostile, sexually inappropriate, fraudulent, unsafe, or disruptive conduct toward WeHealth personnel, providers, care team members, support staff, contractors, patients, or other users;
- encourage, assist, or enable anyone else to engage in prohibited conduct.
19. CONFIDENTIALITY
The Platform may contain non-public, proprietary, confidential, or trade secret information of WeHealth, patients, providers, customers, vendors, and third parties. You must protect confidential information using at least reasonable care and may use it only for authorized professional purposes.
You must not disclose non-public Platform functionality, security features, pricing, workflows, product roadmaps, benchmarking, performance metrics, screenshots, or other confidential information except as authorized by WeHealth, required for patient care, required by your organization’s lawful operations, or required by law.
20. THIRD-PARTY SERVICES, INTEGRATIONS, AND LINKS
The Platform may include links, integrations, APIs, third-party services, third-party devices, third-party apps, content, or tools that are not owned or controlled by WeHealth. Your use of third-party services may be governed by their own terms, privacy policies, user guides, and legal requirements.
WeHealth does not control and is not responsible for third-party services, devices, data, availability, security, accuracy, privacy practices, or business practices. You are responsible for reviewing, approving, configuring, and lawfully using third-party services and for ensuring that any data sharing with third parties is permitted by law and agreement.
21. INTELLECTUAL PROPERTY AND OWNERSHIP
WeHealth and its licensors own all rights, title, and interest in and to the Platform, Services, software, workflows, user interface, code, designs, data models, templates, documentation, logos, trademarks, trade secrets, know-how, and related technology, except for Patient Data and Professional User Content that you lawfully submit.
Subject to these Terms and applicable agreements, WeHealth grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for authorized professional purposes only.
No rights are granted except as expressly stated. You may not remove proprietary notices, copy the Platform, create derivative works, or use WeHealth marks without written permission.
22. FEES, PAYMENT, AND TAXES
Fees, payment terms, taxes, invoicing, subscription terms, usage fees, implementation fees, device fees, support fees, and other commercial terms are governed by the applicable Provider Platform Services Agreement, Order Form, statement of work, subscription agreement, or other written agreement.
Unless otherwise stated in a written agreement, fees are non-refundable and are not contingent on clinical outcomes, reimbursement, patient enrollment, payer payment, billing success, patient adherence, device transmission, or other results.
23. SUPPORT
WeHealth may provide support through channels, hours, and service levels described in applicable agreements or posted support materials. WeHealth does not guarantee that every support request will be resolved, that every issue will be resolved within a specific time, or that support will be available for third-party devices, third-party services, local systems, or unsupported configurations.
Support communications may require access to account information, logs, workflows, configuration data, Patient Data, or PHI where necessary to troubleshoot, operate, secure, or support the Platform, subject to applicable agreements and laws.
24. SUSPENSION AND TERMINATION
WeHealth may suspend, restrict, or terminate access to the Platform, accounts, features, integrations, exports, device workflows, or Services if WeHealth determines that there may be a violation of these Terms, a security risk, privacy risk, patient safety concern, legal or regulatory concern, non-payment, misuse, unauthorized access, inaccurate information, or risk to WeHealth, users, patients, providers, or third parties.
Upon termination, your license to use the Platform ends. You remain responsible for exporting or preserving any data required for your records before termination, subject to applicable agreements and law. Sections that by their nature should survive will survive, including confidentiality, intellectual property, limitations of liability, indemnification, privacy/security obligations, payment obligations, dispute resolution, and governing law.
25. DISCLAIMERS
THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WeHealth disclaims all warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, timeliness, uninterrupted operation, error-free operation, security, compatibility, reimbursement success, payer compliance, clinical appropriateness, and results.
No oral or written information or advice given by WeHealth or its representatives creates a warranty. WeHealth does not warrant third-party devices, hardware, software, integrations, networks, carriers, internet services, browsers, operating systems, or third-party data sources.
26. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEHEALTH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOST DATA; BUSINESS INTERRUPTION; LOSS OF GOODWILL; LOSS OF USE; CLINICAL EXPENSES; LEGAL EXPENSES; PAYER DENIALS; REIMBURSEMENT LOSSES; PATIENT CLAIMS; PRIVACY LOSSES CAUSED BY YOUR CONDUCT; OR DAMAGES ARISING FROM THIRD-PARTY DEVICES, THIRD-PARTY SERVICES, INTERNET FAILURES, DATA DELAYS, UNAUTHORIZED ACCESS CAUSED BY YOU, OR USE OF THE PLATFORM.
Except to the extent a separate written agreement provides otherwise, WeHealth’s total aggregate liability arising out of or relating to these Terms or the Platform will not exceed the greater of (i) amounts paid by the applicable Professional Customer to WeHealth for the Services giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim, or (ii) fifty thousand dollars ($50,000).
The limitations in this section are fundamental to these Terms. Without these limitations, the fees charged for the Platform would be higher.
27. INDEMNIFICATION
You and the applicable Professional Customer agree to indemnify, defend, and hold harmless WeHealth, its affiliates, officers, directors, members, employees, contractors, agents, successors, assigns, vendors, and licensors from and against any third-party claims, damages, fines, penalties, losses, liabilities, costs, and reasonable attorneys’ fees arising out of or relating to:
- your breach of these Terms or applicable agreements;
- your violation of law, regulation, payer requirement, professional obligation, or third-party right;
- your clinical care, medical decision-making, prescribing, ordering, billing, coding, documentation, consent, or recordkeeping;
- Patient Data or Professional User Content submitted by you or your organization;
- your failure to obtain required consents, authorizations, notices, or legal basis;
- your misuse of the Platform or unauthorized access caused by you or your Authorized Users;
- any privacy, security, or data protection violation caused by you, your organization, or your Authorized Users;
- claims by patients, members, payers, providers, employees, contractors, or third parties arising from your use of the Platform.
28. ELECTRONIC SIGNATURE AND RECORDS
By clicking “Agree,” creating a professional account, accessing the Platform, inviting users, creating patient profiles, or otherwise using the Platform, you intend your action to serve as an electronic signature with the same force and effect as a manual signature.
You consent to receive notices, disclosures, agreements, records, and communications electronically. You should print or save a copy of these Terms for your records.
Two-Factor Authentication and Security Texts. WeHealth may send one-time passcodes, verification codes, two-factor authentication codes, login confirmation codes, or other security-related text messages to your mobile number as part of account access, login verification, identity confirmation, account recovery, or other security features. These messages are transactional and security-related and may be sent regardless of any marketing opt-out or STOP request. Opting out of marketing messages does not opt you out of security or authentication texts required for Platform access.
29. CHANGES TO THESE TERMS
WeHealth may update these Terms from time to time. Updates will be indicated by a revised effective date or other notice. WeHealth will provide reasonable advance notice of material changes where feasible, which may include email notice, in-platform notice, website notice, or notice through the applicable Professional Customer account contact. Continued access to or use of the Platform after updated Terms are posted or made available constitutes acceptance of the updated Terms, unless a separate written agreement requires a different process.
30. ASSIGNMENT
These Terms and your rights are personal to you and the applicable Professional Customer and may not be assigned, transferred, or sublicensed without WeHealth’s prior written consent. WeHealth may assign, transfer, delegate, or subcontract its rights and obligations in connection with a merger, acquisition, corporate reorganization, sale of assets, affiliate restructuring, financing, or similar transaction.
31. GOVERNING LAW; VENUE; NO ARBITRATION; DISPUTE RESOLUTION
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Except where a separate written agreement provides otherwise, the state and federal courts located in New York shall have exclusive jurisdiction and venue for disputes arising out of or relating to these Terms or the Platform.
Professional and commercial disputes under these Terms shall be resolved in court and not by consumer arbitration, unless a separate written agreement between the parties expressly requires arbitration. Each party knowingly waives any right to a jury trial to the maximum extent permitted by law.
To the maximum extent permitted by law, any claim or cause of action arising out of or relating to these Terms or the Platform must be filed within one (1) year after the claim arose, or it will be permanently barred.
Nothing in these Terms limits WeHealth’s right to seek injunctive or equitable relief for unauthorized access, misuse, confidentiality breaches, intellectual property violations, security threats, or violations involving Patient Data or PHI.
32. MISCELLANEOUS
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
These Terms are between WeHealth and you/the applicable Professional Customer. Except as expressly stated in a Business Associate Agreement or other written agreement, no third party has rights to enforce these Terms.
These Terms, together with applicable written agreements, privacy policies, Business Associate Agreements, Order Forms, and incorporated policies, constitute the applicable agreement governing professional use of the Platform.
Section headings are for convenience only and have no legal or contractual effect.
WeHealth will not be liable for any failure or delay in performance, unavailability, data delay, interruption, or degradation of the Platform caused by events beyond WeHealth’s reasonable control, including acts of God, natural disasters, public health emergencies, pandemics, epidemics, war, terrorism, civil unrest, labor disputes, government action, regulatory action, internet service failures, telecommunications failures, hosting provider failures, cloud provider outages, carrier outages, utility failures, cyberattacks, denial-of-service attacks, malware, ransomware, security incidents, failures of third-party systems, device or integration failures, or other force majeure events.
