WeHealth may offer technology-enabled care coordination support, remote patient monitoring support, chronic care management support, consumer wellness features, mobile app features, educational content, AI/automation features, and related tools. Some services support independent healthcare providers or care programs. Other services provide education, coaching, support, wellness information, or general information only and do not replace your treating healthcare provider.
Do not use WeHealth for emergencies. Call 911 or seek emergency care right away. You must provide true, complete, and current information, keep your account and device secure, and not misuse the Platform or harass WeHealth personnel, providers, care team members, support staff, contractors, or other users.
WeHealth may contact you about your account, care program, services, reminders, support, or permitted promotional communications by phone, text, email, app message, push notification, mail, or other reasonable means. Some messages may include limited health-related information, and texts, emails, and push notifications may not be fully secure or encrypted.
Some services, subscriptions, devices, equipment, supplies, or features may involve fees. Your cost may depend on your direct purchase, app store subscription, payer, health plan, employer, benefit provider, provider-sponsored program, or other arrangement. WeHealth does not guarantee any diagnosis, treatment, prescription, reimbursement, clinical outcome, wellness result, or program result.
If you receive devices, equipment, supplies, or monitoring tools through a WeHealth-supported program, additional Medicare, payer, device, equipment, rights, and responsibilities terms may apply.
If you use a connected glucose monitor, blood pressure cuff, pulse oximeter, scale, wearable, or other device through a WeHealth-supported program, readings displayed through the Platform are for informational and support purposes only and are not a substitute for your device manufacturer’s primary display, device instructions, or your provider’s clinical guidance.
1. ACCEPTANCE OF THESE TERMS
These WeHealth Patient and Consumer User Terms of Use, also referred to as the “Terms,” “Terms of Use,” or “Terms and Conditions,” govern your access to and use of WeHealth websites, mobile applications, consumer wellness features, patient-facing features, communications, content, artificial intelligence or automation features, and related services (collectively, the “Platform”).
The Platform is operated by WeHealth Technologies LLC d.b.a. WeHealth (“WeHealth,” “we,” “us,” or “our”). By accessing, downloading, installing, registering for, or using the Platform, you acknowledge and agree to these Terms and to our Patient and Consumer User Privacy Policy. If you do not agree, do not access or use the Platform.
If you are a healthcare provider, provider group, clinic, health plan, administrator, staff member, contractor, or other professional user who has executed a separate Provider Platform Services Agreement, Business Associate Agreement, Healthcare Provider Privacy Policy acknowledgement, or other professional agreement with WeHealth, those agreements govern your professional use and these Terms do not apply to your provider-facing services. If you use the Platform as a patient, caregiver, website visitor, consumer wellness user, or other non-provider user, these Terms apply to that use.
We may update these Terms from time to time. Changes are effective when posted or otherwise made available through the Platform, unless a later effective date is stated or additional consent is required by law. Your continued use of the Platform after changes are posted means that you accept the updated Terms.
2. ROLE OF WEHEALTH
WeHealth is a healthcare technology and consumer wellness technology company. WeHealth provides technology-enabled tools and support services that may assist healthcare providers, medical groups, health plans, clinics, care management organizations, and other healthcare organizations with care coordination, remote patient monitoring support, chronic care management support, patient engagement, communication, documentation support, reporting, task management, and related administrative or operational workflows.
WeHealth may also provide consumer wellness and mobile app features, including wellness tracking, health-related self-reporting, reminders, educational content, notifications, user-generated content, artificial intelligence features, automation, and related digital tools.
WeHealth is not a medical practice, healthcare provider, physician group, pharmacy, pharmacy benefit manager, durable medical equipment supplier, electronic medical record system, electronic health record system, prescribing platform, prescription routing platform, or prescription fulfillment service. WeHealth does not provide medical care, diagnose, treat, prescribe medication, dispense medication, issue medical orders, make clinical decisions, or establish a provider-patient relationship.
3. HEALTHCARE SERVICES VS. CONSUMER WELLNESS SERVICES
Some WeHealth services are provided in support of independent healthcare providers, medical groups, health plans, clinics, or other covered entities responsible for a patient’s care. Medical care is provided by those independent providers or organizations, not by WeHealth. Any provider-patient relationship is between you and the applicable treating healthcare provider or healthcare organization.
Other WeHealth services may be consumer wellness or mobile app features used directly by individuals. Consumer wellness features are for general wellness, educational, informational, self-management, and lifestyle-support purposes only. They are not medical advice, diagnosis, treatment, prevention, emergency monitoring, or professional healthcare services.
You should always seek the advice of a qualified healthcare professional with any questions about your medical condition, symptoms, treatment, medications, or care plan. You should never disregard, avoid, or delay seeking professional medical advice because of information made available through the Platform. This does not limit your ability to follow instructions provided directly by your treating healthcare provider or care team through or outside the Platform, including instructions related to remote patient monitoring readings, care coordination messages, or care management programs.
4. NO MEDICAL ADVICE; NO PROVIDER-PATIENT RELATIONSHIP WITH WEHEALTH
Content, communications, summaries, readings, reports, alerts, reminders, tasks, wellness information, artificial intelligence outputs, educational materials, and other information made available through the Platform are provided for informational, operational, wellness, or support purposes only. They do not constitute medical advice, diagnosis, treatment, prescribing guidance, or professional healthcare services.
WeHealth does not guarantee that any healthcare provider will accept you as a patient, provide care, issue an order, issue a prescription, enroll you in any program, or determine that a particular service is clinically appropriate. Healthcare providers may decline to provide services or may require in-person evaluation based on their independent professional judgment, applicable law, payer requirements, or program requirements.
WeHealth does not guarantee any diagnosis, treatment, prescription, medical order, clinical recommendation, clinical outcome, reimbursement result, insurance coverage, payer approval, care program result, wellness result, device result, alert result, reading review, response time, or other specific outcome. You will not be entitled to a refund or credit merely because a provider, payer, care team, or WeHealth-supported service does not provide the outcome you requested or expected.
If a healthcare provider uses the Platform to communicate with you or support your care, any information or advice you receive from that provider comes from the provider alone, not from WeHealth. Your reliance on any provider or provider information is at your own risk and remains part of your relationship with that provider.
5. NO EMERGENCY USE OR CONTINUOUS MONITORING
The Platform is not intended for medical emergencies, urgent emergency communications, emergency monitoring, continuous real-time monitoring, or immediate response to urgent clinical events. If you believe you are experiencing a medical emergency, call 911 immediately or go to the nearest emergency department.
The Platform, including any remote patient monitoring features, consumer wellness features, connected devices, readings, alerts, reminders, reports, AI outputs, or automated notifications, should not be relied upon for emergency care or urgent medical response.
You should contact your treating healthcare provider directly for medical questions, changes in condition, treatment concerns, medication questions, care instructions, or concerns about device readings.
6. CONSUMER WELLNESS, DEVICE, AND MEASUREMENT DISCLAIMER
Consumer wellness features, mobile app readings, self-entered data, device-derived information, wellness scores, AI-generated feedback, and educational content may be incomplete, inaccurate, delayed, unavailable, or inappropriate for your specific circumstances. Unless expressly stated in writing and legally permitted, consumer wellness features are not intended to be medical-grade devices, diagnostic tools, clinical decision tools, or substitutes for professional medical evaluation.
Remote patient monitoring devices used in a provider-supported program may support care coordination and reporting to a healthcare provider or care team, but they are not emergency response devices and do not guarantee immediate review or response by WeHealth or any provider.
You are responsible for using any devices, sensors, apps, and integrations according to manufacturer instructions, provider instructions, and applicable program requirements. WeHealth is not responsible for incorrect readings caused by device misuse, connectivity issues, battery failure, user error, third-party device failure, or information entered inaccurately by a user.
If you receive or use any device, equipment, supplies, connected monitoring tool, wearable, or related accessory through a WeHealth-supported program, you are responsible for using it only as instructed, keeping it reasonably safe, and promptly reporting malfunctions, loss, theft, damage, incorrect readings, connectivity issues, changes in your address or phone number, and material changes in your health condition to the applicable provider, care team, program sponsor, or WeHealth support channel as directed by the program.
If the Platform displays, analyzes, imports, or receives data from third-party devices, remote patient monitoring devices, wearables, continuous glucose monitors, blood pressure monitors, pulse oximeters, scales, mobile health apps, Apple Health, Google Health Connect, or similar tools, the Platform is not a replacement for the device manufacturer’s primary display, instructions, warnings, manuals, or clinical guidance. Do not make medication, insulin, diet, exercise, emergency, or treatment decisions based solely on WeHealth displays, summaries, alerts, reports, or Automated Outputs. Follow the instructions of your treating provider and the applicable device manufacturer.
7. COMPATIBLE CONTINUOUS GLUCOSE MONITORING (CGM) AND GLUCOSE DATA SUPPORT
If the Platform supports compatible continuous glucose monitoring devices, glucose meters, glucose applications, or other diabetes-related devices or integrations, this Section applies to those features.
The Platform may receive, display, analyze, summarize, or report historical or retrospective glucose-related data from compatible third-party CGM systems, glucose meters, diabetes applications, health apps, or connected device platforms. These features are intended to support wellness insights, care coordination, reporting, and review by users, participating providers, or care teams where applicable. Unless expressly stated in writing and legally permitted, these features are accessory and informational only and are not intended to replace a CGM manufacturer’s app, receiver, primary display, alarms, alerts, instructions, warnings, manuals, or real-time glucose monitoring functions.
The Platform is not intended to provide real-time glucose monitoring, emergency monitoring, insulin dosing instructions, medication recommendations, diagnosis, treatment recommendations, or clinical decision-making. Always refer to the real-time data, alarms, warnings, and instructions provided by the CGM manufacturer’s app, receiver, device, or other approved display for any clinical action.
Do not make insulin dosing decisions, medication changes, carbohydrate intake decisions, diet changes, exercise decisions, emergency decisions, or treatment decisions based solely on WeHealth displays, summaries, reports, alerts, insights, or Automated Outputs. You must consult and follow the instructions of your treating healthcare provider and the applicable device manufacturer before making medical interpretations, therapy adjustments, medication changes, or treatment decisions based on glucose-related data.
WeHealth does not guarantee that third-party CGM or glucose data will be accurate, complete, current, timely, uninterrupted, or available. Data may be delayed, incomplete, unavailable, corrupted, incorrectly transmitted, incorrectly displayed, or affected by device error, user error, connectivity issues, battery failure, manufacturer outages, app permissions, integration limits, or other factors outside WeHealth’s control.
8. MEDICARE, INSURANCE, DEVICES, EQUIPMENT, AND SUPPLIES
This Section applies only if you receive or use devices, equipment, supplies, sensors, remote patient monitoring tools, glucose-related devices, blood pressure monitors, pulse oximeters, scales, or similar items through a WeHealth-supported program, whether provided by a healthcare provider, health plan, supplier, manufacturer, logistics vendor, WeHealth, or another third party.
Unless expressly stated in a separate written agreement, order form, program disclosure, or provider/supplier notice, WeHealth is not a durable medical equipment supplier, pharmacy, prescribing provider, manufacturer, or payer. Devices, equipment, supplies, and related items may be furnished, fulfilled, maintained, billed, replaced, or supported by third parties, and those third parties may have their own terms, instructions, warranties, notices, privacy practices, and complaint processes.
If you receive or use devices, equipment, or supplies through Medicare, a Medicare Advantage plan, Medicaid, a commercial health plan, or another payer program, coverage, eligibility, copayments, deductibles, replacement rights, supplier obligations, and complaint rights may be governed by applicable law, payer rules, provider policies, supplier policies, and program documents. WeHealth does not guarantee payer coverage, reimbursement, eligibility, authorization, continued coverage, replacement, or payment for any device, equipment, supply, service, or program.
If devices, equipment, or supplies are furnished under a program subject to Medicare supplier standards or similar federal, state, payer, accreditation, or supplier requirements, the applicable supplier is responsible for complying with those requirements, including applicable Medicare supplier standards. Where WeHealth is expressly responsible for furnishing covered devices, equipment, or supplies, WeHealth will provide applicable supplier-standard information or direct you to the applicable supplier-standard information upon written request, as required by applicable law.
Devices, equipment, supplies, and monitoring tools are subject to availability, eligibility, payer requirements, provider orders, program requirements, shipping limitations, connectivity limitations, and applicable law. WeHealth may decline, suspend, replace, retrieve, or discontinue device-related support where required by law, payer rules, provider direction, safety concerns, misuse, loss, nonpayment, program ineligibility, or operational limitations.
9. USER RIGHTS AND RESPONSIBILITIES FOR PROVIDER-SUPPORTED PROGRAMS, DEVICES, EQUIPMENT, AND SUPPLIES
If you participate in a provider-supported care program, remote patient monitoring program, chronic care management program, consumer wellness program, or device-supported program, you may have rights and responsibilities under applicable law, payer rules, provider policies, supplier policies, program disclosures, and these Terms. Nothing in this Section makes WeHealth your healthcare provider or creates a provider-patient relationship with WeHealth.
Your Rights. Your rights may include, as applicable:
- to be treated with respect, consideration, dignity, and without discrimination;
- to be free from mistreatment, neglect, verbal, mental, sexual, or physical abuse, and misappropriation of property;
- to appoint a designee, caregiver, or authorized representative to speak or act on your behalf where permitted by law and program rules;
- to be informed of applicable charges, insurance coverage, billing methods, and amounts that may be your responsibility;
- to receive devices, equipment, or supplies in a timely manner where they are part of an applicable program and subject to availability, eligibility, payer requirements, and logistics;
- to receive information about WeHealth-supported services, staff roles, material changes, and potential risks of discontinuing a service where applicable;
- to opt out, cancel, or disenroll from applicable services or programs as permitted by the applicable program terms, payer rules, provider instructions, and law;
- to receive instructions on how to submit questions, feedback, or complaints; and
- to voice concerns or complaints without retaliation, provided communications are not abusive, threatening, harassing, or disruptive.
Your Responsibilities. Your responsibilities include, as applicable:
- to provide complete, accurate, and current information, including your name, address, telephone number, date of birth, insurance information, employer or sponsor information where applicable, health information, medication history, and any other information requested for the applicable service or program;
- to ask questions when you do not understand information, instructions, device use, program requirements, or responsibilities;
- to actively participate in the management of your health and follow instructions from your treating provider or care team;
- to treat WeHealth personnel, providers, care team members, support staff, contractors, and other users with courtesy and respect;
- to notify the applicable provider, care team, supplier, or WeHealth support contact promptly of equipment malfunctions, damage, loss, theft, connectivity issues, incorrect readings, changes in your condition, changes in insurance, Medicare or payer coverage, address changes, and phone number changes;
- to use and maintain devices, equipment, supplies, and related accessories according to manufacturer instructions, provider instructions, program requirements, and these Terms;
- to pay any amounts not covered by your insurer, payer, employer, sponsor, or benefit program, including applicable copayments, deductibles, coinsurance, device replacement costs, or other amounts for which you are responsible; and
- to notify the applicable provider, care team, health plan, sponsor, or WeHealth if you choose to disenroll from or stop participating in a program.
If WeHealth is unable to meet your needs within the scope of its technology-supported services, WeHealth may refer you back to your treating provider, health plan, payer, sponsor, or another appropriate organization. WeHealth does not assume responsibility for providing medical care, emergency services, or replacement clinical services.
10. AI, AUTOMATION, AND AUTOMATED OUTPUTS
The Platform may include artificial intelligence, machine learning, automation, or other technology-enabled features that generate summaries, suggestions, alerts, reminders, reports, text, classifications, risk indicators, wellness feedback, or other outputs (“Automated Outputs”).
Automated Outputs may be incomplete, inaccurate, delayed, biased, misleading, or inappropriate for a particular user, patient, condition, or clinical situation. Automated Outputs are provided for informational, operational, wellness, or support purposes only and are not medical advice, diagnosis, treatment, prescribing guidance, emergency monitoring, or a substitute for professional clinical judgment.
You should not rely on Automated Outputs as the sole basis for medical decisions, treatment decisions, medication decisions, emergency decisions, legal decisions, financial decisions, insurance decisions, or any decision that may have a material impact on an individual.
Healthcare providers remain solely responsible for reviewing, validating, and exercising independent professional judgment before relying on or using any Automated Output in connection with patient care. WeHealth may use data to improve and develop AI, machine learning, analytics, and automation features only as described in the Patient and Consumer User Privacy Policy and as permitted by applicable law and agreements.
11. USER INFORMATION, USER CONTENT, AND LICENSE
You may submit, upload, transmit, create, store, edit, use, or share information through the Platform, including personal information, health information, wellness information, symptoms, conditions, medication information, messages, forms, consents, documents, images, photos, screenshots, audio, video, notes, questions, responses, comments, suggestions, or other materials (“User Information” or “User Content”).
You represent and warrant that: (a) the information you provide is accurate to the best of your knowledge; (b) you have the legal right and authority to provide the information; (c) if you provide information about another person, you have the required authority, consent, or permission; and (d) your User Content does not violate law, privacy rights, intellectual property rights, or the rights of any other person.
PHI Limitation. For PHI handled on behalf of a healthcare provider, medical group, health plan, clinic, or other covered entity, WeHealth will access, use, disclose, maintain, transmit, and process such PHI only as permitted by applicable Business Associate Agreements, HIPAA, HITECH, applicable state privacy laws, and the instructions of the applicable covered entity. The license below does not give WeHealth any independent right to use PHI outside those limitations.
User Content License. For User Content that is not PHI handled on behalf of a covered entity, you grant WeHealth a limited, non-exclusive, worldwide, royalty-free license to access, use, host, store, reproduce, process, transmit, display, and create technical or functional derivatives of User Content solely as necessary to operate, provide, maintain, secure, troubleshoot, support, personalize, improve, develop, test, and protect the Platform and related services, including AI, automation, analytics, and consumer wellness features, as described in the Patient and Consumer User Privacy Policy and as permitted by applicable law.
12. ACCOUNTS, ELIGIBILITY, PASSWORDS, AND DEVICE SECURITY
You may be required to create an account to use certain features. You agree to provide current, complete, truthful, and accurate information and to update it promptly as needed. This may include your contact information, date of birth, service address, health information, medication information, insurance or payer information, device readings, caregiver or authorized representative information, and other information requested through the Platform. WeHealth, participating providers, care teams, payers, and service providers may rely on the information you provide. WeHealth is not responsible for harm, delay, denial of services, incorrect communications, billing issues, eligibility issues, device issues, care coordination problems, or other consequences caused by inaccurate, incomplete, outdated, or misleading information you provide.
You must keep your login credentials confidential and must not share them with anyone else. You must promptly notify WeHealth of any suspected unauthorized access, loss of credentials, security incident, or misuse of the Platform.
If you register for or access the Platform using a third-party authentication provider, such as Apple, Google, or another login provider, your use of that authentication method is subject to the third party’s terms and privacy policy. WeHealth does not receive your third-party account password. You are responsible for maintaining the security of your third-party credentials and account access.
Consumer wellness features are intended for users who are at least 18 years old unless otherwise stated or permitted with appropriate parental or guardian involvement. Provider-supported healthcare services for minors may be available only through a parent, legal guardian, authorized representative, treating provider, medical group, health plan, clinic, or other covered entity responsible for the minor’s care.
You are responsible for maintaining the security of your device, internet connection, mobile service, operating system, browser, and app settings. We recommend that you do not jailbreak, root, or otherwise disable security protections on your device. WeHealth is not responsible for loss, damage, unauthorized access, or failure of the Platform caused by compromised devices, insecure networks, device settings, third-party systems, or user failure to protect credentials.
13. MOBILE APP, UPDATES, INTERNET ACCESS, AND APP STORES
Some features require an active internet connection, mobile network, compatible device, operating system, app version, or third-party service. WeHealth does not guarantee that the Platform will function on every device, operating system, network, browser, carrier, app store, or geographic location.
You are responsible for data charges, roaming charges, internet charges, text message charges, device costs, and other fees charged by your carrier, internet provider, app store, or third-party service provider.
We may update, modify, add, remove, suspend, or discontinue features at any time. Updates may be required for security, performance, legal compliance, or continued access. If you do not install updates, some features may not work properly or may become unavailable.
If you download the Platform through Apple App Store, Google Play, or another app store, your use is also subject to that app store’s terms, policies, and payment rules. Apple, Google, and other app stores are not responsible for WeHealth’s Platform unless their own terms state otherwise.
14. FEES, SUBSCRIPTIONS, PAYMENTS, RENEWALS, AND REFUNDS
Certain services or features may be offered for a fee, subscription, membership, in-app purchase, provider-sponsored program, payer-sponsored program, or other payment arrangement. We will identify applicable charges before you are charged, unless fees are handled through a separate provider, payer, employer, plan sponsor, app store, or written agreement.
Payments may be processed by WeHealth, a third-party payment processor, Apple App Store, Google Play, Stripe, or another approved payment method. WeHealth may receive limited transaction, subscription, payment status, or purchase information as described in the Patient and Consumer User Privacy Policy.
Subscriptions may renew automatically unless cancelled according to the applicable payment processor, app store, or subscription terms. You are responsible for managing your subscriptions, cancellations, and payment methods. Refunds, credits, cancellations, and billing disputes for purchases made through Apple App Store, Google Play, Stripe, or another payment processor are governed by the applicable app store, payment processor, or written agreement. Unless otherwise required by applicable law or expressly stated at the time of purchase, fees paid directly to WeHealth are non-refundable except at WeHealth’s sole discretion.
WeHealth does not guarantee that any service will be covered by insurance, reimbursed by a payer, available under a benefit plan, or provided without cost. If a provider, payer, employer, sponsor, or other third party offers access to the Platform, your access may depend on that third party’s eligibility rules, payment arrangements, and program requirements.
Once services have commenced, a subscription period has begun, a device or supply order has been processed, or a digital feature has been made available, you may be responsible for applicable charges unless cancellation, refund, or return rights are expressly provided at the time of purchase or required by applicable law. You will not receive a refund simply because you did not receive a particular diagnosis, prescription, clinical advice, reimbursement, wellness result, or other outcome.
15. COMMUNICATIONS, SMS, EMAILS, CALLS, AND PUSH NOTIFICATIONS
When you use the Platform or send emails, text messages, app messages, or other communications to WeHealth, you are communicating electronically. You consent to receive electronic communications from WeHealth and agree that agreements, consents, notices, disclosures, and other communications provided electronically satisfy any legal requirement that they be in writing, where permitted by law.
By creating an account, enrolling in a program, or providing your mobile number through an applicable consent form, you provide your prior express written consent to receive automated, pre-recorded, artificial voice, and/or non-automated calls and text messages from WeHealth and its authorized agents related to Platform access, account notices, appointment reminders, care coordination, RPM/CCM support, wellness reminders, service updates, and, where separately permitted, promotional messages. Message and data rates may apply. Consent to marketing messages is not a condition of purchasing goods or services.
You may reply STOP to opt out of promotional text messages. For help, reply HELP or contact us using the information in Section 32. Transactional, account-related, care-related, service-related, security-related, or legally required communications may still be sent where permitted by law. WeHealth will comply with applicable federal and state communications laws, including the Telephone Consumer Protection Act (TCPA), and may require separate written consent on applicable intake, enrollment, or consent forms for certain categories of communications.
Two-Factor Authentication and Security Texts. WeHealth may send one-time passcodes, verification codes, two-factor authentication codes, login confirmation codes, or other security-related text messages to your mobile number as part of account access, login verification, identity confirmation, account recovery, or other security features. These messages are transactional and security-related and may be sent regardless of your marketing message preferences or any STOP request. Opting out of marketing messages does not opt you out of security or authentication texts required for Platform access.
Clinical and Chart Notifications. WeHealth may send text messages (SMS), email notifications, and push notifications to notify you when your healthcare provider, care team, or care coordinator uploads laboratory results, imaging results, clinical documents, care plan updates, prescription information, referrals, messages, or other information to your account or care record through the Platform. These are care-related and account-related communications and may be sent by SMS, email, push notification, or other available communication method. You may manage certain notification preferences through your app settings or account settings where applicable, but care-related notifications may still be sent by one or more methods where required by your care program, provider instructions, or applicable law.
If you enable push notifications, WeHealth may send app notifications related to your account, service activity, wellness reminders, device readings, program reminders, or other features. You may manage push notifications through your device or app settings.
Communications may include limited health-related information, program-related information, account information, or service information. SMS, email, push notifications, app messages, and similar communications may not be fully secure or encrypted and may be visible to anyone with access to your device, email account, phone number, carrier account, notification settings, or contact information. You are responsible for keeping your contact information current and for securing your devices, accounts, passwords, and notification settings.
WeHealth may record inbound and outbound calls for quality assurance, training, compliance, documentation, security, and operational purposes where permitted by law. You may request that a call not be recorded, but WeHealth may be unable to provide certain support or services without recording where recording is required or reasonably necessary for operational, compliance, quality, documentation, or security purposes.
16. PRIVACY POLICY AND CONSUMER HEALTH DATA
Your use of the Platform is also governed by the WeHealth Patient and Consumer User Privacy Policy. That policy explains how WeHealth collects, uses, discloses, stores, and protects personal information, health-related information, consumer wellness information, consumer health data, and PHI.
To the extent WeHealth receives, stores, transmits, maintains, or processes PHI on behalf of a healthcare provider, medical group, health plan, clinic, or other covered entity, WeHealth acts as a Business Associate under HIPAA and HITECH and handles such PHI in accordance with applicable Business Associate Agreements, HIPAA, HITECH, applicable state privacy laws, and the instructions of the applicable covered entity.
WeHealth does not sell PHI. WeHealth does not sell consumer health information. WeHealth does not use PHI or consumer health information for targeted advertising or cross-context behavioral advertising.
17. THIRD-PARTY SERVICES, LINKS, INTEGRATIONS, AND CONTENT
The Platform may link to, integrate with, or allow access to third-party websites, apps, devices, health apps, wearable platforms, payment processors, communication providers, analytics providers, content, services, or resources. WeHealth does not control and is not responsible for third-party services, content, privacy practices, security practices, terms, products, or claims.
Your use of third-party services is subject to the third party’s terms and privacy policies. You are responsible for reviewing and complying with those terms and policies. WeHealth is not liable for loss, damage, or claims arising from your use of or reliance on third-party services or content.
The Platform may display information provided by third parties, providers, devices, integrations, or users. WeHealth does not guarantee the accuracy, completeness, timeliness, suitability, or availability of third-party information.
18. PROHIBITED USES
You agree that you will not:
- use the Platform for any fraudulent, unlawful, harmful, abusive, harassing, defamatory, obscene, threatening, discriminatory, exploitative, or unethical purpose;
- impersonate any person or entity or misrepresent your affiliation with any person or entity;
- access or attempt to access accounts, systems, information, or areas of the Platform that you are not authorized to access;
- interfere with, disrupt, damage, disable, overload, probe, scan, test, circumvent, or compromise the Platform, security controls, networks, servers, or authentication measures;
- introduce malware, viruses, spyware, worms, bots, harmful code, or other destructive technology;
- use robots, scraping, crawling, data mining, automated extraction, or similar tools without WeHealth’s express written consent;
- reverse engineer, decompile, disassemble, translate, modify, or create derivative works of the Platform except as expressly permitted by law;
- copy, reproduce, distribute, sell, resell, frame, mirror, deep link, or exploit the Platform or WeHealth content for commercial purposes without written consent;
- use the Platform to prescribe, transmit, route, approve, dispense, sell, or fulfill prescription medications or to represent that WeHealth provides prescribing, pharmacy, EMR/EHR, medical, or emergency services;
- use the Platform or Automated Outputs to make decisions that have legal, financial, clinical, insurance, employment, housing, credit, immigration, law enforcement, or other material impact on a person without appropriate human review and legal authorization;
- use the Platform to develop, train, or improve a competing product or model without WeHealth’s written consent;
- upload or transmit content that infringes intellectual property rights, privacy rights, or other rights of any person;
- disclose Personal Information, PHI, consumer health data, or confidential information of another person without lawful authority;
- engage in abusive, threatening, harassing, discriminatory, profane, hostile, sexually inappropriate, fraudulent, or disruptive conduct toward WeHealth personnel, providers, care team members, support staff, contractors, or other users; or
- encourage, assist, or enable anyone else to violate these Terms.
19. INTELLECTUAL PROPERTY AND LICENSE
The Platform, including software, technology, interfaces, workflows, designs, text, graphics, logos, trademarks, service marks, content, documentation, data models, templates, reports, alerts, automation, AI features, and other materials, is owned by WeHealth or its licensors and is protected by intellectual property and other laws.
Subject to your compliance with these Terms and payment of any applicable fees, WeHealth grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your personal, non-commercial use, or for such other use expressly authorized by WeHealth in writing.
All rights not expressly granted are reserved by WeHealth and its licensors. You may not use WeHealth names, logos, trademarks, service marks, trade dress, or branding without prior written consent.
20. ACCURACY AND AVAILABILITY OF INFORMATION
Although WeHealth attempts to operate the Platform reliably and provide useful information, WeHealth makes no representation, warranty, or guarantee that the Platform, content, reports, readings, alerts, reminders, outputs, or information will be accurate, complete, timely, uninterrupted, secure, error-free, or suitable for any particular purpose.
Information on the Platform may contain errors, omissions, delays, inaccuracies, or unauthorized alterations. If you believe information is inaccurate, notify WeHealth or your healthcare provider as appropriate. WeHealth may update, change, correct, or remove information without notice.
21. SERVICE AVAILABILITY AND JURISDICTIONS
WeHealth technology-supported services are available only in approved jurisdictions through participating healthcare providers, medical groups, health plans, clinics, healthcare organizations, or consumer app offerings where legally permitted. Service availability may vary by state, program, provider licensure, payer arrangement, patient location, user location, app functionality, and applicable law.
WeHealth currently supports technology-enabled services for users or patients located in the following U.S. states: Alabama, Alaska, Arizona, Arkansas, California, Colorado, Connecticut, Delaware, Florida, Georgia, Hawaii, Idaho, Illinois, Indiana, Iowa, Kansas, Kentucky, Louisiana, Maine, Maryland, Massachusetts, Michigan, Minnesota, Missouri, Montana, Nebraska, Nevada, New Hampshire, New Mexico, New York, North Carolina, North Dakota, Ohio, Oklahoma, Oregon, Pennsylvania, Rhode Island, South Carolina, South Dakota, Tennessee, Texas, Utah, Vermont, Virginia, Washington, West Virginia, Wisconsin, and Wyoming.
WeHealth does not currently support technology-enabled services for users or patients located in New Jersey or Mississippi.
WeHealth may decline, suspend, restrict, or terminate access to the Platform or any service if WeHealth determines that a user, patient, provider, service location, payer arrangement, requested service, or use case is outside an approved jurisdiction or otherwise presents a legal, regulatory, privacy, security, payer, or compliance concern.
22. DISCLAIMERS
THE PLATFORM AND ALL SERVICES, CONTENT, INFORMATION, DATA, READINGS, REPORTS, ALERTS, REMINDERS, AUTOMATED OUTPUTS, WELLNESS FEATURES, COMMUNICATIONS, AND MATERIALS MADE AVAILABLE THROUGH THE PLATFORM ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEHEALTH DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE.
WEHEALTH DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE FROM VIRUSES OR HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION OBTAINED FROM WEHEALTH OR THROUGH THE PLATFORM CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
23. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEHEALTH AND ITS AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, PERSONAL INJURY, PROPERTY DAMAGE, DEVICE DAMAGE, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEHEALTH SHALL HAVE NO LIABILITY OR RESPONSIBILITY FOR THE ACTS OR OMISSIONS OF ANY HEALTHCARE PROVIDER, HEALTHCARE ORGANIZATION, MEDICAL GROUP, HEALTH PLAN, CAREGIVER, THIRD-PARTY SERVICE, DEVICE MANUFACTURER, APP STORE, PAYMENT PROCESSOR, OR OTHER THIRD PARTY INVOLVED IN YOUR CARE, USE OF THE PLATFORM, OR USE OF THIRD-PARTY SERVICES.
TO THE EXTENT ANY LIABILITY CANNOT BE EXCLUDED, WEHEALTH’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO WEHEALTH FOR THE PLATFORM DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE HUNDRED DOLLARS ($500).
24. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless WeHealth and its affiliates, officers, directors, members, employees, contractors, agents, licensors, service providers, and suppliers from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your use or misuse of the Platform; (b) your breach of these Terms; (c) your violation of applicable law; (d) User Content or information you submit; (e) your violation of another person’s rights; or (f) access to the Platform by anyone using your account, credentials, or device.
25. TERMINATION AND SUSPENSION
WeHealth may suspend, restrict, or terminate your access to all or part of the Platform at any time, with or without notice, if WeHealth determines that your use violates these Terms, presents a legal, privacy, security, safety, compliance, operational, payer, or regulatory concern, or is otherwise inappropriate.
If WeHealth limits, suspends, or terminates access for a user participating in a provider-supported care program, WeHealth may take reasonable steps, where appropriate and feasible, to notify the applicable provider, healthcare organization, payer, program sponsor, or care team so they may address continuity of care. WeHealth does not assume responsibility for providing medical care, emergency services, or clinical monitoring.
Upon termination, your right to use the Platform will stop immediately. Sections that by their nature should survive termination will survive, including provisions regarding privacy, user content, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and miscellaneous terms.
26. COPYRIGHT INFRINGEMENT AND DMCA
WeHealth respects intellectual property rights. If you believe that material available through the Platform infringes your copyright, please send a notice identifying the copyrighted work, the allegedly infringing material, your contact information, a good-faith statement, a statement under penalty of perjury that the information is accurate and that you are authorized to act, and your physical or electronic signature.

27. DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER
The parties will attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform through informal negotiation. If a dispute is not resolved informally, the matter shall be submitted to final and binding arbitration before JAMS, or its successor, under applicable JAMS rules, except where prohibited by law or where WeHealth elects to seek injunctive or equitable relief.
YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU ARE WAIVING CERTAIN RIGHTS TO LITIGATE DISPUTES IN COURT, TO RECEIVE A JURY TRIAL, OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. ANY ARBITRATION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS.
Arbitration Opt-Out. You may opt out of the arbitration requirement in this Section by sending written notice to WeHealth within thirty (30) days after the date you first accept these Terms. Your opt-out notice must include your full name, the email address or phone number associated with your account if applicable, and a clear statement that you wish to opt out of arbitration. If you timely opt out, the arbitration requirement will not apply to you, but the class action waiver and other provisions of these Terms will continue to apply to the maximum extent permitted by law.
Nothing in this Section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for unauthorized access, misuse, intellectual property violations, privacy/security violations, or other urgent matters.
28. GOVERNING LAW; VENUE; LIMITATION ON CLAIMS
These Terms and any claim or dispute arising out of or relating to these Terms or the Platform are governed by the laws of the State of New York, without regard to conflict-of-law principles, except to the extent preempted by federal law or prohibited by applicable consumer protection law.
To the maximum extent permitted by law, any claim or cause of action arising out of or related to the Platform or these Terms must be filed within one (1) year after the claim arose, or it will be permanently barred.
29. FORCE MAJEURE
WeHealth will not be liable for any delay, failure, interruption, or non-performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, epidemics, pandemics, cyberattacks, power failures, internet or telecommunications failures, cloud provider failures, app store failures, governmental actions, or other events beyond WeHealth’s reasonable control.
30. ACCESSIBILITY
WeHealth attempts to make its information accessible to all individuals. 31. MISCELLANEOUS
No agency, partnership, joint venture, employment, fiduciary, franchise, or provider-patient relationship between you and WeHealth is created by these Terms or by your use of the Platform.
WeHealth may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction. You may not assign or transfer your rights or obligations without WeHealth’s prior written consent.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. WeHealth’s failure to enforce any provision is not a waiver of its right to enforce that provision later.
These Terms, together with the Patient and Consumer User Privacy Policy and any additional terms incorporated by reference, constitute the agreement between you and WeHealth regarding your use of the Platform.
